Terms of Service

Effective November 2, 2026

These terms apply when you use exponent.systems (the "site") or subscribe to services from Exponent Systems ("Exponent", "we", "us"). By using the site or subscribing, you agree to them. If you are subscribing on behalf of a company, you confirm you can bind that company, and "you" means the company. If we sign a separate written agreement with you, that agreement takes precedence where the two differ.

1. The service

Exponent provides a senior growth, sales and business development team on a subscription. You add requests to a queue, and we work through them in the order we agree with you, delivering work each week. The number of requests we work on at the same time depends on your plan, as described on the pricing section of the site. Larger requests are broken into weekly pieces. Delivery times are good-faith estimates rather than guaranteed deadlines.

We may decline a request that is unlawful, unethical, outside the scope of the service, or would put us or others at risk, and we will tell you why.

2. Your responsibilities

You agree to give us accurate information, timely feedback and the access we reasonably need, such as accounts for your CRM, social channels or analytics tools. You are responsible for the content and materials you provide, for approving work before it is published or sent in your name, and for making sure your products, claims and campaigns comply with the laws that apply to your business. Please share only the access we need and remove it when the engagement ends.

3. Fees, billing and pausing

Subscriptions are billed in advance, either monthly or quarterly, at the prices shown on the site or in your order. Billing runs in 31-day cycles. You can pause your subscription during a cycle, and the unused days are kept for when you resume. Fees do not include taxes, which you are responsible for where they apply. Fees are non-refundable except where the pricing on the site states otherwise. If a payment fails or is late, we may pause work until it is resolved. We may change prices for future billing cycles with at least 30 days' notice.

4. Cancelling

You can cancel at any time. Cancellation takes effect at the end of the current billing cycle, and we will keep working until then. We may suspend or end the service if you materially breach these terms and do not fix the breach within 10 days of our notice, or immediately if continuing would be unlawful. On cancellation we will hand over finished work and any work in progress that has been paid for.

5. Ownership of work

Once you have paid for it, you own the work we create for you, including copy, content, playbooks, CRM setups and dashboards, and it stays in your accounts. We keep ownership of our general know-how, methods, templates and tools that existed before the engagement or are not specific to you, and we grant you a perpetual licence to use any of them that are built into your deliverables. We will only name you as a client, or publish results from your engagement, with your permission.

6. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for the engagement, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known to the receiving party, independently developed, or that must be disclosed by law. These obligations continue for three years after the engagement ends, and for as long as the information remains a trade secret.

7. No guaranteed results

Growth, sales and partnership outcomes depend on many things outside our control, including your product, market conditions and third-party platforms. Results shown on the site, including case studies, describe past work and are not a promise of future results. We will do the work with professional care and skill, but we do not guarantee any particular revenue, pipeline, audience or other outcome.

8. Disclaimers

Except as stated in these terms, the site and services are provided "as is". To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing we provide is legal, financial, tax or investment advice.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability arising from these terms or the services is limited to the fees you paid to Exponent in the three months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's breach of confidentiality, or liability that cannot be limited by law.

10. Indemnity

You will defend and indemnify Exponent against third-party claims arising from materials you provide, your products or services, or work published or sent at your direction, except to the extent the claim is caused by our own misconduct. We will defend and indemnify you against third-party claims that the work we create, as delivered, infringes someone else's intellectual property, except to the extent it is based on materials you provided.

11. Using the site

You may browse and share the site for lawful purposes. Please do not copy it wholesale, interfere with its operation, or try to access systems you are not authorised to use. The site links to third-party websites and services such as Cal.com, which have their own terms. Our Privacy Policy explains how we handle personal information.

12. General

These terms are governed by the laws of the United States and of the state in which Exponent Systems is registered, without regard to conflict-of-law rules, and the courts of that state have exclusive jurisdiction. Neither party is responsible for delays caused by events beyond its reasonable control. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale of our business. If any part of these terms is unenforceable, the rest stays in effect. Failing to enforce a term is not a waiver of it. We are independent contractors, and nothing in these terms creates a partnership or employment relationship.

13. Changes

We may update these terms. The effective date above shows when they last changed. For active subscriptions, changes apply from your next billing cycle, and we will tell you about material changes in advance.
